1. ACCEPTANCE OF TERMS

By registering for an account, accessing, or using Talk To Your Data ("TTYD," "the Service," "our platform"), you ("you," "your," "user") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Talk To Your Data, S.L. (en constitución), a company to be incorporated under the laws of Spain ("we," "us," "our," "Company").

Talk To Your Data, S.L. is currently in the process of incorporation. These Terms will be updated to reflect final corporate registration details once available.

2. DESCRIPTION OF SERVICE

TTYD is a Software-as-a-Service (SaaS) platform that enables users to:

  • Connect to a wide range of external tools and data sources (including but not limited to databases, third-party platforms, and cloud services)
  • Interact with their data through artificial intelligence-powered natural language queries
  • Manage organizational access and collaborate with team members
  • Visualize and analyze data through our chat interface

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

  • You may register using email/password or through third-party OAuth providers
  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to provide accurate, current, and complete information during registration
  • You are responsible for all activities that occur under your account

3.3 Organization Accounts

  • Upon registration, you will be assigned to an organization and you may modify your organization settings at any time
  • Organization administrators have additional rights and responsibilities over organizational data and members

4. DATA HANDLING AND PRIVACY

4.1 Your Data

  • Integration Credentials: Connection details (such as API keys, tokens, and database credentials) for your external tools and data sources are encrypted and stored using Infisical, a secure credential management service. We implement industry-standard encryption both at rest and in transit.
  • Data Access: We do not store or copy the full content of your connected data sources (e.g., database records, emails, e-commerce transactions). We only retain metadata, query logs, and limited output necessary to deliver the functionality of the Service.
  • Chat History: Conversations with our AI system are stored to improve your experience, maintain context, and provide organizational visibility where applicable.

4.2 Data Processing

  • We use artificial intelligence models to process your queries
  • Your database queries and responses may be processed by these third-party AI services
  • We implement strict access controls and only allow read-only operations on your databases unless you explicitly grant write access
  • You retain full control over what data is accessible through our platform via access scopes, exclusions, or permission settings

4.3 GDPR Compliance

As we operate in Spain and serve EU users, we comply with the General Data Protection Regulation (GDPR):

  • Legal Basis: We process your data based on contractual necessity and legitimate interests
  • Data Subject Rights: You have the right to access, rectify, erase, restrict processing, data portability, and object to processing
  • Data Retention: We retain personal data only as long as necessary for service provision and legal compliance

6. ARTIFICIAL INTELLIGENCE AND THIRD-PARTY SERVICES

6.1 AI Processing

  • Our Service uses AI models from but not limited to OpenAI and Google to interpret and respond to your queries
  • AI responses are generated based on your data and may not always be accurate
  • You should verify AI-generated insights before making business decisions
  • We cannot guarantee the accuracy, completeness, or reliability of AI responses

6.2 Third-Party Services

TTYD integrates with selected third-party providers to deliver core functionalities such as authentication, secure credential storage, payment processing, email delivery, AI-powered query handling, and analytics.

These services may include, for example:

  • Authentication Providers (e.g., GitHub, Google)
  • AI Service Providers (e.g., OpenAI, Google)
  • Payment Processors (e.g., Stripe)
  • Credential Management Services (e.g., Infisical)
  • Analytics Services (PostHog Europe) - for anonymous usage analytics and service improvement
  • Communication Tools (e.g., transactional email platforms)

Your use of these services through our platform may be subject to their own terms and privacy policies. Where required, we ensure appropriate data protection safeguards are in place.

  • PostHog Europe: Anonymous analytics data is processed exclusively within the EU to ensure GDPR compliance
  • No Opt-Out: Analytics collection is mandatory for service operation and cannot be disabled
  • Data Minimization: Only anonymous, aggregated usage patterns are collected - no personal or business data content
  • Service Dependency: Continued use of the Service constitutes ongoing consent to analytics data collection

7. BILLING AND PAYMENTS

7.1 Subscription Plans

  • We offer various subscription plans with different features and limitations
  • Pricing is available on our website and may change with 30 days' notice
  • You may start with a trial period

7.2 Payment Processing

  • Payments are processed through Stripe, a third-party payment processor
  • You authorize us to charge your designated payment method for applicable fees
  • All fees are non-refundable except as required by law or as specified in these Terms

7.3 Billing Disputes

  • You must notify us of any billing disputes within 30 days of the charge
  • Failure to pay fees may result in suspension or termination of your account

8. INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

  • The Service, including all software, content, and technology, is owned by us and protected by intellectual property laws
  • We grant you a limited, non-exclusive, non-transferable license to use the Service

8.2 Your Content

  • You retain ownership of your data and content
  • You grant us a license to process your data as necessary to provide the Service
  • You represent that you have the right to use and share any data you provide to the Service

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR DATA
  • SECURITY OF DATA TRANSMISSION OR STORAGE

You acknowledge that:

  • Computer systems may experience downtime, errors, or security vulnerabilities, or interruptions
  • While we implement robust security measures, no system is entirely immune to potential risks or unauthorized access
  • AI-generated responses may contain inaccuracies or errors
  • Database connectivity may be affected by factors outside our control
  • Data processing services may have limitations or interruptions

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • BUSINESS INTERRUPTION OR OPERATIONAL DELAYS
  • DAMAGE TO REPUTATION OR GOODWILL
  • COSTS OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM DATA BREACHES, UNAUTHORIZED ACCESS, OR SECURITY INCIDENTS
  • DAMAGES CAUSED BY AI INACCURACIES OR MISINTERPRETATIONS
  • DAMAGES RESULTING FROM THIRD-PARTY SERVICE FAILURES

10.3 Data Loss and Security

WE SHALL NOT BE LIABLE FOR:

  • Loss, corruption, or unauthorized access to your data
  • Consequences of database connectivity issues
  • Actions taken based on AI-generated insights or recommendations
  • Damages from third-party service interruptions or failures

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or violation of these Terms
  • Your violation of any law or third-party rights
  • Your data or content, including any claims of infringement
  • Unauthorized access to your account or databases
  • Your failure to comply with applicable data protection laws
  • Any negligent acts or omissions in your use of the Service

12. TERMINATION

12.1 Termination by You

You may terminate your account at any time by contacting us or using account settings.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your account becomes delinquent on payments
  • We believe your use poses a security risk
  • Required by law or legal process

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • We may delete your account data after a reasonable retention period
  • Stored database credentials will be securely deleted from Infisical
  • Outstanding fees remain due and payable

13. PRIVACY AND DATA PROTECTION

13.1 Privacy Policy

Our Privacy Policy, incorporated by reference, explains how we collect, use, and protect your information.

13.2 Data Security

While we implement reasonable security measures, YOU ACKNOWLEDGE THAT NO SYSTEM IS 100% SECURE and we cannot guarantee absolute security of your data.

13.3 Breach Notification

We will notify affected users of security breaches as required by applicable law and within 72 hours of becoming aware of the breach.

14. FORCE MAJEURE

We shall not be liable for any delay or failure to perform due to events beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • Government actions, laws, or regulations
  • Internet or telecommunications failures
  • Third-party service provider outages
  • Cyber attacks or security incidents not caused by our negligence

15. GOVERNING LAW AND JURISDICTION

These Terms are governed by Spanish law. Any disputes shall be resolved in the courts of Barcelona, Spain. You consent to the exclusive jurisdiction of these courts.

For EU residents, this does not affect your rights under EU consumer protection laws.

16. MODIFICATIONS TO TERMS

We may modify these Terms at any time by posting updated terms on our website. Material changes will be communicated with 2 weeks notice. Continued use of the Service constitutes acceptance of modified Terms.

17. MISCELLANEOUS

17.1 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

17.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company.

17.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

17.4 Waiver

Our failure to enforce any provision does not constitute a waiver of our rights.
